”Atlantis Live” Sweepstakes NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. 1. Sweepstakes Period. “Atlantis Live” (the “Sweepstakes”) commences at or around 12:00 a.m. (EST) on October 26, 2009 and continues through 11:59 a.m. (EST) on November 9, 2009 (the “Sweepstakes Period”). Sponsor: Kerzner International Resorts, Inc., 730 Fifth Avenue, Fifth Floor, New York, NY 10019. 2. Eligibility; Sweepstakes is open to legal residents of the continental United States who are 18 years of age or older as of the date of entry. Employees of Kerzner International Resorts, Inc., Pop2Life, LLC, and their respective affiliated companies and subsidiaries and the immediate families of each are not eligible to enter or win. VOID IN ALASKA AND HAWAII. Void where otherwise prohibited by law. 3. How To Enter. Go to www.atlantislivesweeps.com complete and submit the online entry form during the Sweepstakes Period (“Online Entry(ies)”). Participants may enter as many times as they wish but there is a limit of one (1) prize per person. Incomplete or inaccurate entries are void. All entries become the property of Sponsor. 4. Winner Selection: A random drawing will be held on or about November 9, 2009 to determine one (1) grand prize winner (the “Winner") from among all eligible entries received. 5. Winner Notification: Sponsor or its designee will attempt to contact the potential Winner three (3) times by phone on the phone number received. If any potential Winner is unreachable, or if potential Winner does not call back within 24 hours an alternative winner will be selected. Winner will be required to sign an affidavit of eligibility, publicity release, liability waiver and/or IRS Form W-9 (collectively “Affidavit”) within two (2) days after receipt of such documents or forfeit his/her rights to the Grand Prize. Winner’s guest must also execute a liability release prior to being able to be booked on the trip, which timing will be in Sponsor’s sole discretion. Guest traveling with Winner must also be at least 18 years of age at time of prize fulfillment, unless the Winner is under 21 years of age; in which case, the Guest must be at least 21 years of age. If the Winner or Guest is not of the legal age of majority in his/her state of residence (“minor”), the Winner's or Guest’s parent or legal guardian will be required to execute the Affidavit on the minor’s behalf. The Sponsor reserves the right to modify the notification procedures in connection with the selection of alternate winners, if any. 6. Grand Prize: One (1) Grand Prize Winner will receive a trip for two (2) to Atlantis, Paradise Island in The Bahamas with an approximate retail value or $2,800 (actual value depends on location of winner and fares at time of departure). Winner and guest must be able to travel on dates determined by Sponsor, which are tentatively scheduled for December 4-6, 2009, and are subject to change, in Sponsor’s sole discretion. If Winner cannot travel on dates determined by Sponsor, Winner will forfeit all rights to the Grand Prize and an alternate winner will be selected. A valid passport is required to travel. Odds of winning are determined by the number of eligible Entries received. All elements of the Grand Prize to be determined by Sponsor. Dates of concerts and artists performing subject to change and are not the responsibility of Sponsor. In the event any concerts or artists are cancelled, Sponsor’s only obligation to the Winner is to award the remaining trip. Some restrictions may apply. No substitution, transfer of the Grand Prize (or any portion thereof) or cash alternative permitted, except by Sponsor, due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. All other expenses not mentioned herein, including but not limited to, ground transportation, additional hotel amenities, fees and gratuities, and the cost, if any, of obtaining a passport are the responsibility of Winner and Guest. Payment of all taxes is the sole responsibility of the Winner. The Winner will be issued an IRS Form 1099 for the retail value of the Prize. 7. Dispute Resolution; Limitation of Liability. By participating Entrants agree to release Kerzner International Resorts, Inc., Pop2Life, LLC and sponsors, their parent, subsidiary and affiliated companies at every tier and their respective officers, directors, employees, agents, members, from any and all liability, claims, demands, and causes of action for personal injury and/or death, damage, theft, or loss suffered in connection with this Sweepstakes, the awarding of the prize, the use or misuse of the prize or any portion thereof (including, without limitation, any travel, flight or activity related thereto). Any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action. This Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, regardless of principles of conflicts of laws that may require the application of the laws of another jurisdiction. Any action or litigation concerning this Agreement shall take place exclusively in the federal or state courts sitting in New York, New York, and each Entrant expressly consents to the jurisdiction of and venue in such courts and waives all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. Each Entrant agrees to service of process by mail or other method acceptable under the laws of the State of New York. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES. ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. 8. General Conditions. All interpretations of these Official Rules and the decisions of Sponsor in all matters related to this Sweepstakes are final and binding. In the event this Sweepstakes is compromised for any reason (including computer virus, tampering, bugs, computer malfunction, fraud, unauthorized intervention or other causes beyond the control of Sponsor which, in the sole opinion of Sponsor, corrupts or impairs the administration, security, fairness or proper play of this Sweepstakes, Sponsor reserves the right in its sole discretion to suspend, modify or terminate this Sweepstakes. Sponsor is not responsible if any Sweepstakes cannot be implemented or prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. Entrants who do not comply with these Official Rules, or attempt to interfere with this Sweepstakes in any way in Sponsor’s sole discretion shall be disqualified. Sponsor reserves the right to disqualify any Entrant for any reason, including without limitation, if that Entrant has not complied with these Official Rules or has interfered, in Sponsor’s’ sole opinion, with the proper conduct of this Sweepstakes. Unless prohibited by law, each Entrant grants Sponsor and its agents and licensees the right to use, display, distribute or publish such Entrant’s name, likeness, photograph, voice, address (city and state), biographical information, and any material based therefrom, or to refrain from so doing, in any manner in any and all media, whether now known or hereafter devised, anywhere in the world in perpetuity for purposes of advertising or trade in promoting or publicizing Sponsor, without compensation. Acceptance of a Prize constitutes a waiver of any claims to compensation, royalties, or other remuneration for such use. Sponsor, Pop2Life LLC and its sponsors, affiliates, subsidiaries, respective directors, officers, employees and agents are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, telephone or Internet servers or providers, computer equipment, software, failure or delay of electronic communications, or traffic congestion on the Internet or at any Web site, or any human error which may occur in the processing of the entries in the Sweepstakes, or any combination thereof, including injury or damage to participants or to any other person's telephone, computer or other equipment related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, or for any reason Sponsor deems it necessary, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on www.atlantislivesweeps.com. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. 9.
